Please read these Terms carefully. By registering a venue, accessing, or using the TEIBOL platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Venue Operator," "User," or "you") and TEIBOL LLC, a limited liability company organized under the laws of Puerto Rico, United States ("TEIBOL," "we," "us," or "our").
These Terms govern your access to and use of the TEIBOL platform, including the web application at app.teibol.com, associated APIs, and all related services (collectively, the "Service").
2. Description of Service
TEIBOL provides a real-time QR-based service request platform that enables:
- Guests to submit service requests (e.g., calling a waiter, requesting the check, ordering items) by scanning a QR code at their table — without installing an app.
- Venue staff and operators to receive, manage, and respond to guest requests in real time through a floor control dashboard.
- Venue operators to configure request types, assign staff, and access service analytics.
3. Eligibility and Account Registration
- You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your venue or business.
- You agree to provide accurate, complete, and current information during registration and to keep your account information updated.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You agree to notify TEIBOL immediately at info@teibol.com of any unauthorized use of your account.
4. Subscription Plans and Payment
4.1 Subscription
Access to the TEIBOL platform requires a paid subscription. Subscription plans, features, and pricing are described at teibol.com and are subject to change with 30 days' notice.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis, as selected at registration.
- Payment is processed through Stripe or PayPal. By subscribing, you authorize TEIBOL to charge your payment method on a recurring basis.
- All fees are in US Dollars and are non-refundable except as expressly stated herein.
4.3 Free Trial
If TEIBOL offers a free trial, you will not be charged during the trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
4.4 Cancellation and Refunds
- You may cancel your subscription at any time through your account settings or by contacting info@teibol.com.
- Cancellation takes effect at the end of your current billing period. You will retain access to the platform until that date.
- TEIBOL does not provide pro-rated refunds for partial billing periods except where required by applicable law.
- If TEIBOL terminates your account for cause, no refund will be issued.
5. Acceptable Use
You agree to use the TEIBOL platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the platform in any way that violates applicable federal, state, local, or international law or regulation.
- Attempt to gain unauthorized access to any part of the platform or its related systems or networks.
- Interfere with or disrupt the integrity or performance of the platform.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
- Use automated means (bots, scrapers, crawlers) to access the platform.
- Use the platform to transmit unsolicited communications, spam, or misleading content.
- Resell, sublicense, or transfer access to the platform to third parties without TEIBOL's written consent.
- Use the platform for any purpose that competes with TEIBOL's business.
6. Venue Operator Responsibilities
As a Venue Operator, you are solely responsible for:
- The configuration of your venue's QR codes, request types, and staff assignments.
- Ensuring your staff are properly trained to use the platform.
- The quality and accuracy of service delivered to your guests.
- Compliance with all applicable laws governing your venue, including health, safety, liquor licensing, and labor laws.
- Obtaining any necessary consent from your staff for monitoring of response times and performance metrics.
7. Intellectual Property
- The TEIBOL platform, including all software, designs, trademarks, logos, and content, is owned by TEIBOL LLC and protected by intellectual property laws.
- TEIBOL grants you a limited, non-exclusive, non-transferable, revocable license to use the platform solely for your internal business operations during your subscription term.
- You may not copy, modify, distribute, sell, or lease any part of the platform or its content.
- Any feedback, suggestions, or ideas you provide to TEIBOL may be used by TEIBOL without compensation to you.
8. Data and Privacy
Your use of the TEIBOL platform is also governed by our Privacy Policy, incorporated into these Terms by reference. You agree to the collection and use of information as described in our Privacy Policy.
As a Venue Operator, you are a data controller for any personal data of your staff and guests processed through the platform. TEIBOL acts as a data processor on your behalf. You are responsible for ensuring you have appropriate legal basis to process such data.
9. Third-Party Services
The TEIBOL platform integrates with third-party services including Stripe, PayPal, and other providers. Your use of these services is governed by their respective terms and privacy policies. TEIBOL is not responsible for the practices of third-party services.
10. Disclaimers
THE TEIBOL PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TEIBOL does not warrant that:
- The platform will be uninterrupted, error-free, or completely secure.
- The platform will meet your specific business requirements.
- Any errors or defects will be corrected within any specific timeframe.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEIBOL LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF TEIBOL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL TEIBOL'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO TEIBOL IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless TEIBOL LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) the operation of your venue.
13. Service Availability and Modifications
- TEIBOL aims for high availability but does not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.
- TEIBOL reserves the right to modify, suspend, or discontinue the platform or any feature thereof at any time with reasonable notice.
- TEIBOL may update these Terms at any time. Material changes will be communicated to registered users with at least 14 days' notice. Continued use after the effective date constitutes acceptance.
14. Termination
- Either party may terminate these Terms by canceling the subscription as described in Section 4.4.
- TEIBOL may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or pose a risk to the platform or other users.
- Upon termination, your right to access the platform ceases immediately. You may request an export of your data within 30 days of termination.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable federal laws of the United States, without regard to conflict of law principles.
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered in San Juan, Puerto Rico, under the rules of the American Arbitration Association.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as a class action or representative proceeding.
16. General Provisions
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and TEIBOL regarding the platform.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure by TEIBOL to enforce any provision shall not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without TEIBOL's prior written consent. TEIBOL may assign these Terms in connection with a business transfer.
- Force Majeure: TEIBOL shall not be liable for delays or failures caused by circumstances beyond our reasonable control.
- Language: These Terms are provided in English. In case of any conflict with a translated version, the English version prevails.
17. Contact Us — Legal
